When a large quantity (volume) of shares exchanges hands, a deal of such nature is termed a bulk deal. If a party is ready to sell a large volume of a particular stock, there has to be a counterparty to buy the volume and when such a transaction is complete, the details of the deal, the bulk deal between the two parties, is presented to the exchange. Deals can vary in size and it is a known fact that bulk deals tend to move markets in specific directions.
According to definition, a bulk deal is any deal that involves a large volume of shares, typically 0.5% of a company’s total listed shares. If a company has 100,000 shares listed on BSE or NSE and on any given day 0.5% of 100,000, which is 500 shares are exchanged in a single transaction, then such a transaction is categorised as a bulk deal and since the transaction is facilitated through the exchange during regular trading hours, the details of the transaction have to be shared with BSE or NSE depending on where the bulk deal was executed.
To avoid fraud and protect investors from default, the exchange – BSE or NSE – depending on where the bulk deal was executed demands the date on which the deal was executed, the stock symbol, the name of the security, the client who is involved in the transaction, the direction of the deal (buy or sell), the quantity of the shares traded and the trade price or the weighted average price. For every such bulk deal executed, there are two parties involved, one buying and the other selling. All the details of the deal are shared with BSE or NSE. Bulk deals usually are executed by institutional investors, mutual funds or high net worth individuals who either want to load up on a stock because they see promise in the stock or want to offload positions because they see no merit in holding the stock anymore. Either way, a bulk deal has to be at least 0.5% the size of the total number of shares of the stock trading in the market. Deals of such significant size cause market movement in one direction or another. The price at which the deal is executed also makes a significant contribution to the movement of the market. In a bulk deal, it is not necessary that the number sold by one party is exactly equal to the number bought by another party. There can be multiple parties involved on either side of the bulk deal.

Bulk deals executed in a stock express the confidence of an investor in that stock. If an institutional investor of high repute executes a bulk deal on the buy side in a stock that is showing signs of recovery, then the market confidence on the stock also experiences a boost. A retail investor with cash waiting to invest in a worthy stock might use the bulk deal cue to take long positions in the stock and wait for appreciation and capital gain. A trader dealing in options might execute long calls with the hope that the bulk deal made by the institutional investor will push the price up in the coming days and hence the value of the calls also go up. An analyst who is studying the stock in question should take the bulk deal as a signal in the right direction. The analyst’s rating might change depending on the bulk deal pushing the demand for the stock further up.

Hence, an investor can easily decipher the supply and demand dynamics of a particular stock purely by observing the history, size, frequency and value at which the bulk deals for a stock are being executed.
